1. Acceptance of Terms

By accessing and using YallaPay Sudan's payment gateway services ('Services'), you accept and agree to be bound by the terms and conditions of this agreement. If you disagree with any part of these terms, then you may not access the Services.

These Terms of Service ('Terms') govern your use of our website and services. Your continued use of the Services following the posting of any changes to these Terms constitutes acceptance of those changes.

2. Service Description

YallaPay Sudan provides electronic payment gateway services that enable businesses to accept and process digital payments from their customers. Our services include:

  • Payment processing and transaction management
  • Multiple payment method integration (cards, digital wallets, bank transfers)
  • API integration and developer tools
  • Dashboard and analytics for transaction monitoring
  • Customer support and technical assistance

3. User Accounts

To use our Services, you must register for an account. You agree to provide accurate, current, and complete information during registration and to update such information to keep it accurate, current, and complete.

Account Security

You are responsible for safeguarding the password and access credentials for your account. You agree not to disclose your password to any third party and to take sole responsibility for any activities or actions under your account.

Account Termination

We may terminate or suspend your account immediately, without prior notice or liability, for any reason whatsoever, including without limitation if you breach the Terms.

4. Payment Terms

Service Fees

We charge fees for our Services as outlined in our pricing schedule. All fees are subject to change with 30 days' notice. You agree to pay all applicable fees for the Services you use.

Payment Processing

We process payments on behalf of merchants and transfer funds according to our settlement schedule. We are not responsible for delays in payment processing caused by third-party payment processors or financial institutions.

Refunds and Chargebacks

Refunds and chargebacks are handled according to our refund policy and applicable regulations. Merchants are responsible for handling customer disputes and refund requests in accordance with their own policies.

5. Prohibited Activities

You agree not to use the Services for any unlawful purpose or to solicit others to perform unlawful acts. You agree not to:

  • Violate any applicable laws or regulations
  • Infringe upon or violate our intellectual property rights or the intellectual property rights of others
  • Harass, abuse, insult, harm, defame, slander, disparage, intimidate, or discriminate
  • Submit false or misleading information
  • Upload or transmit viruses or any other type of malicious code
  • Attempt to gain unauthorized access to our systems or networks

6. Intellectual Property

The Service and its original content, features, and functionality are and will remain the exclusive property of YallaPay Sudan and its licensors. The Service is protected by copyright, trademark, and other laws.

You may not use our trademarks, service marks, or trade names without our prior written consent.

7. Limitation of Liability

In no event shall YallaPay Sudan, nor its directors, employees, partners, agents, suppliers, or affiliates, be liable for any indirect, incidental, special, consequential, or punitive damages, including without limitation, loss of profits, data, use, goodwill, or other intangible losses.

Our total liability to you for any claims arising from or relating to these Terms or the Services shall not exceed the amount you paid us in the twelve (12) months preceding the claim.

8. Indemnification

You agree to defend, indemnify, and hold harmless YallaPay Sudan and its licensors and service providers from and against any claims, liabilities, damages, judgments, awards, losses, costs, expenses, or fees arising out of or relating to your violation of these Terms or your use of the Services.

9. Governing Law

These Terms shall be interpreted and governed by the laws of Sudan, without regard to its conflict of law provisions. Our failure to enforce any right or provision of these Terms will not be considered a waiver of those rights.

10. Changes to Terms

We reserve the right, at our sole discretion, to modify or replace these Terms at any time. If a revision is material, we will try to provide at least 30 days' notice prior to any new terms taking effect.

What constitutes a material change will be determined at our sole discretion.
